Our agreement to work together

Don't be scared of this agreement. Read through it carefully and if you want to negotiate bits of it, mail or call me and can come up with something that works for the both of us. In any agreement, there needs to be clear understanding upfront, and if there is a dispute, then the agreement can be pulled out from the bottom drawer.

Preamble

The parties to this agreement have a mutual interest to make profits from creating interesting web based information that will be posted to the Internet on what will be called JV Websites. In this regard the parties willingly enter into the following basic agreement.

Definitions

Weblux Pty Ltd (Seoza) is the party responsible for web site creation in line with this agreement

Author or Partner may be Weblux Pty Ltd (Seoza) or the party agreeing to this agreement. In general it refers to the person agreeing to this JV opportunity rather than Weblux Pty Ltd (Seoza) because it is envisaged that most content for the JV Website will be created by the agreeing party.

JV Website: This is a website created and paid for in full by Weblux Pty Ltd (Seoza) based upon articles submitted by the author in approved format. Income will be split 50% to the author and 50% to Weblux Pty Ltd (Seoza)

Income: This is any income derived from the JV Website. It is envisaged this will be derived from selling advertising space, electronic goods, and a wide range of affiliate opportunities. No promise of any kind is made that profits will be generated. However subjects chosen as the basis for any JV Website are based upon a high degree of probability that good profits will be made

Duration of agreement: The agreement is evergreen subject to cancellation in writing by either party with 1 month's notice

Specific Agreements Between The Parties

1.

All information provided by either of the parties and posted to the Internet will become the property of Weblux Pty Ltd (Seoza)Only the specific author will have the right to use the specific author's information without any further permission from Weblux Pty Ltd (Seoza)

2.

All profits made from the JV Websites will normally be collected by the party agreeing to this agreement and not Weblux Pty Ltd (Seoza).

3.

All profits will however be shared by the parties on a 50/50 basis and the party collecting the profits will ensure that the 50% owing to Weblux Pty Ltd (Seoza) is paid upon receipt of the profits from the 3rd party whomever that may be ... eg affiliate partner, advertiser etc

4.

Upon cancellation by any party the author of the website content (excluding that created by Weblux Pty Ltd (Seoza)) will forfeit any rights of any kind to any future profits from the JV Website created. The author will be free to use the information submitted in any way they desire ... eg should they wish to start a new website by themselves the information submitted by them can freely be used on the new website. The author will have no right to any information from the website that was not expressly created by the author. Nor will they be entitled to any market intelligence or intellectual property of any kind created by the publishing of the website

5.

The author will agree to keep confidential any marketing techniques specifically learned from the involvement with the JV Website work.

6.

IMPORTANT & STRESSED .... All work submitted by any author MUST be original non-copyrighted written articles. Weblux Pty Ltd (Seoza) will be indemnified by the author against any claim that may arise from the copying or abuse of any other author's work anywhere in the world.

7.

Each article needs to be about 400 to 600 words long and submitted in a format to be supplied to the partner signing this agreement.

Our Obligations To You

1.

To register a "dot com" domain at no charge after receipt of first 5 web pages submitted in the approved form by the author

2.

Arrange professional hosting at no charge

3.

Create and design website content from information supplied by Partner in standard format with colours chosen by Partner from those made available

4.

To add minimum of 10 web pages with maximum 2 images per page set to specific size

5.

To train Partner on how to write the articles for web success

6.

To provide link from central point to allow quick indexing by Google

7.

To show Partner how to create links to the website for improved search engine performance

8.

To publish provided content to the Internet within 2 weeks of receiving the first 5 articles

9.

To apply confidential search engine optimization skills to the JV Website.

10.

To show Partner how to apply for contextual advertising account so that traffic to website can be monetized

11.

To show Partner how to search for potential affiliate links to be able to monetize site

12.

To provide Partner with suggested affiliate Partner list

13.

To provide a comprehensive list of subjects categories and sub categories

14.

To provide full CV of author on website with contact details if required

15.

Not to publish any offensive material of any kind as judged by normal standards ... we are final judge here

16.

To publish on a web page appropriate advertising based upon our Partner successfully applying to the advertisor or affiliate merchant and providing the html code thereof

17.

To allow 1 personal advert (eg for a product or service provided by the Partner) free of charge. Subsequent will be charged.

18.

To provide a form for email address collection on the website ... eg for a newsletter subscription (see application form for example)

19.

To allow access by Partner to articles published by us on behalf of other Partners in appropriate cases

20.

Where possible to assist a Partner with publishing electronic information (belonging to the Partner such as books, manuals, plans etc) and to offer such electronic information products for sale using our Esell system in return for a 50/50 profit share

21.

To disclose any income from this arrangement with the relevant authorities in the normal way. The arrangement would be between Weblux Pty Ltd (Seoza) and yourself.

Obligations of Author or Partner To Us

1.

To contract to provide minimum of 10 pages original and targeted text article in good English based upon format supplied by us

2.

To create original articles NOT to plagiarize, infringe upon or violate any copyright

3.

Format will be electronic in format supplied by Weblux Pty Ltd (Seoza) ... articles will be returned for modification if not submitted in required format

4.

Images to be supplied in gif or jpeg format

5.

Each article to be at least 400 words and the subject of the pages will be determined by us based upon general topic chosen by Partner.

6.

To indemnify Weblux Pty Ltd (Seoza) from any copyright infringement of any kind whatsoever ... signing of this agreement is subject to total agreement on this point.

7.

To allow us free and permanent access to any article submitted for no charge

8.

To pay us 50% of all earnings made by website registered as above by us on a monthly basis and based upon full disclosure of all earnings

Sharing of Confidential Information

Subject to signing a confidentiality agreement and long term agreement (as measured by creating at least 2 websites together)

Partners who show exceptional ability and commitment to this project will be developed into skilled Internet Marketers through intensive training and development workshops FREE of charge.

At these workshops partners will be shown all they need to know to make a major success of any Internet efforts.

1.

All domain names for any future sites to be developed with content written by partner will be registered through Weblux Pty Ltd (Seoza).

2.

Ultimate ownership of the domain resides with Weblux Pty Ltd (Seoza) in return for developing the partners' skills and creating the profitable JV arrangement.
